Terms of Service

1. Introduction and acceptance

These Terms of Service ("Terms") govern your use of the website (the "Site") and the software development, IT consulting, and related services (collectively, the "Services") provided by BASETECH - FZCO ("Basetech", "we", "our", or "us"), a Free Zone Company registered with the Dubai Integrated Economic Zones Authority. By using the Site or engaging our Services, you agree to these Terms. If you do not agree, please discontinue use.

2. Our services

Basetech provides custom software development, web and cloud application development, systems integration, automation, and technology consulting. We also develop and operate our own software products. The specific scope, deliverables, timelines, and fees for any engagement are set out in a separate written proposal, statement of work, or agreement, which forms part of these Terms for that engagement.

3. Client responsibilities

• Provide accurate, complete information relevant to the engagement.
• Provide timely access, materials, and feedback needed to deliver the Services.
• Ensure you hold the rights to any content, data, or systems you ask us to work with.
• Use the Services and any deliverables lawfully and in line with applicable regulations.

4. Fees and payment

Fees are as agreed in the applicable proposal, statement of work, or order. Unless stated otherwise in writing, invoices are payable on the terms specified therein. Some engagements may require a deposit or milestone payments. Fees are exclusive of any applicable taxes or duties.

5. Intellectual property

Ownership of deliverables is set out in the applicable engagement agreement. Except as expressly assigned to you, Basetech retains all rights in its pre-existing materials, tools, frameworks, and know-how, including anything developed independently of your engagement. Our own products and their underlying technology remain the exclusive property of Basetech.

6. Confidentiality

Each party may receive confidential information from the other in the course of an engagement. Each party agrees to protect the other's confidential information and to use it only for the purpose of the engagement, except where disclosure is required by law.

7. Warranties and disclaimers

We provide the Services with reasonable skill and care. Except as expressly stated in an engagement agreement, the Services and the Site are provided "as is", and we do not warrant that they will be uninterrupted or error-free. Any third-party platforms, services, or software integrated at your request are subject to their own terms.

8. Limitation of liability

To the maximum extent permitted by law, Basetech shall not be liable for indirect, incidental, or consequential losses, including lost profits or data. Our total aggregate liability arising out of or in connection with an engagement shall not exceed the fees paid by you for that engagement.

9. Term and termination

Either party may terminate an engagement in accordance with the terms of the applicable agreement, or on written notice where the other party materially breaches these Terms and fails to remedy the breach within a reasonable period. Fees for Services properly performed up to the date of termination remain payable.

10. Governing law and jurisdiction

These Terms are governed by the laws of the Emirate of Dubai and the applicable federal laws of the United Arab Emirates. The courts of Dubai shall have jurisdiction over any dispute arising out of or in connection with these Terms, without prejudice to any applicable free zone dispute resolution rules.
